Terms of Service

These terms cover your use of Vendy, the AI ad-creative service operated by Prequel Inc. We've kept them plain. If anything here is unclear, email us before you agree — we'd rather answer than surprise you.

The short version

  • Vendy turns your product photo into ads. You keep the rights to what you make.
  • You pay in credits. Credits roll over, top-ups don't expire, and failed generations are refunded automatically.
  • Cancel anytime in two clicks. No auto-trial conversion, no retention maze.
  • Don't upload things you don't have the rights to, and don't use Vendy to make illegal or deceptive ads.

Who we are.

Vendy is a product of Prequel Inc., a company incorporated under the laws of the United States (State of Delaware), with offices at 15 Palm Avenue, Miami Beach, FL 33139, USA. In these terms, "Vendy", "we", "us" and "our" mean Prequel Inc.; "you" means the person or business using the service.

By creating an account or using Vendy, you agree to these Terms of Service and to our Privacy Policy. If you're using Vendy for a company, you confirm you're authorised to accept these terms on its behalf.

What Vendy does.

You give Vendy one real product photo or a link to your store, and Vendy reads your brand and produces ad creative — studio photos, posters, before/afters, carousels and video — sized for Meta, TikTok and Google Ads. Outputs are generated, so we describe what the service is built to do, not a guarantee of specific business results.

Vendy makes creative from your real product and logo. It is a creative tool — it does not buy media, run your ad accounts, or guarantee approval by any ad platform.

Your account.

  • You must be at least 18, or the age of majority where you live, to use Vendy.
  • Keep your login secure; you're responsible for activity under your account.
  • Give accurate billing information and keep it current.

Acceptable use.

Use Vendy honestly. You agree not to:

  • upload content you don't own or have permission to use, including photos, logos, trademarks or people's likenesses;
  • create ads that are illegal, deceptive, hateful, sexual, or that infringe someone's rights;
  • impersonate a brand or person you don't represent;
  • scrape, resell, or reverse-engineer the service, or abuse the API beyond your plan;
  • upload another company's product to pass it off as your own.
Vendy is built to make real ads for your product. Using it to clone a competitor's branded product or run misleading offers is a breach of these terms and can get your account closed.

Your content and what you make.

What you upload stays yours.

You keep ownership of the product photos, logos and brand assets you upload ("Your Content"). You grant Prequel Inc. a limited licence to process Your Content solely to provide the service to you — generate, store, and deliver your outputs.

What Vendy generates is yours to use.

Subject to your plan being in good standing, you own the creative outputs Vendy generates for you ("Outputs") and may use them in your paid and organic advertising. You're responsible for ensuring your final ads comply with each platform's policies and applicable advertising law.

We do not sell Your Content. We don't use your private uploads to train public models. If we ever want to feature your results as an example, we'll ask first.

How AI generation works (and its limits).

Vendy uses AI models to generate imagery and copy. AI output can contain errors, artefacts, or claims that aren't true for your product. Every Output passes an automated quality gate, but you are the final reviewer: check facts, claims, prices and likenesses before you publish an ad.

Because models are probabilistic, two runs from the same input can differ, and similar outputs may be generated for other users from similar inputs. You're responsible for the accuracy of any claim, such as "97% reorder" or "clinically proven", you choose to keep in an ad.

Credits, plans and billing.

Vendy is sold as credits you spend on outputs. Plans renew monthly or annually until you cancel. Full billing mechanics — roll-over, top-ups, refunds for failed generations, and cancellation — are set out in our Refund & Billing Policy, which forms part of these terms.

  • Prices are shown in your account; taxes may apply based on your location.
  • Plan credits roll over up to 2x your monthly allowance; top-up credits don't expire.
  • A generation that fails our quality gate is refunded in credits automatically.
  • You can upgrade, downgrade or cancel anytime; changes are prorated.

Third-party platforms.

Vendy exports ads for Meta, TikTok, Google and other platforms, and relies on third-party AI and payment providers, including our payment processor. Those platforms have their own terms; we're not responsible for their decisions, outages, or ad approvals.

Service availability and changes.

We work to keep Vendy running but don't promise uninterrupted service. We may add, change or retire features. If we make a material change to these terms, we'll give reasonable notice and update the Last updated date.

Suspension and termination.

You can stop using Vendy and close your account anytime. We may suspend or close accounts that breach these terms, for example the acceptable-use rules. If we close your account for a breach, unused subscription credits may be forfeited; if you simply cancel, your roll-over and top-up credits remain available per the Refund & Billing Policy.

Disclaimers and liability.

Vendy is provided "as is". To the maximum extent permitted by law, Prequel Inc. disclaims implied warranties and is not liable for indirect or consequential losses, including lost ad spend, lost sales, or platform rejections. Nothing here limits liability that can't be limited by law.

Where liability can't be excluded, our total liability to you is limited to the amount you paid us for the service in the 12 months before the claim.

Governing law and disputes.

These terms are governed by the laws of Delaware, USA, without regard to conflict-of-laws rules.

Most disputes are resolved by binding arbitration administered by the New York International Arbitration Center (NYIAC). You have 30 days from accepting these terms to opt out of arbitration by emailing legal@prequelapp.com. Where arbitration doesn't apply, disputes go to the state and federal courts of the United States.
